The Terms of Service (these "Terms" or the "Agreement") for the website portal.intuition.systems (the "Portal," "Website," or "Interface") apply to the Website and any content, smart contracts, tools, features and functionality offered on or through the Website (collectively the "Services") and are entered into by and between you as the user of the Services ("you," "your," or the "User") and the Website's operators Intuition Systems, Inc. ("we," "our," "us," "Intuition," "Company").

These Terms govern your access to and use of the Services, which use a suite of experimental blockchain-oriented functionalities. Using these functionalities (including via the interface on our website) poses significant risks to you and your online assets. Please read these terms carefully. By accessing and/or using the Services, you are agreeing to these Terms. If you do not understand or agree to these Terms, do not use the Services.

ARBITRATION AND CLASS ACTION WAIVER

Section 9 contains an arbitration clause and class action waiver. By agreeing to these terms, you agree to resolve covered disputes through binding individual arbitration and waive class or representative proceedings.

1. The Services

Attestation Data Market and the Protocol

The Website's Services include methods and information to enable participants to access or participate in attestation and data market mechanisms powered by blockchain-enforced smart contracts (the "Protocol"). The Protocol is intended to operate in a decentralized manner, and Intuition has no ability to control, modify, prevent, stop, amend, or adjust interactions or transactions after they are submitted to the Protocol.

YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OR INTERACTION WITH THE PROTOCOL IS AT YOUR OWN RISK. INTUITION WAIVES ALL LIABILITY OR RESPONSIBILITY, AND MAKES NO WARRANTIES, RELATED TO THE PROTOCOL, WHETHER OR NOT ACCESSED VIA OUR SERVICES.

Blockchain Fees

Use of the Services may require transactional fees required by an underlying blockchain or distributed ledger service, or by the Protocol itself ("Blockchain Fees"). In no event will Intuition be responsible for the payment, repayment, refund, disbursement, indemnity, or any other aspect of your use or transmission of Blockchain Fees.

Wallets

Transactions initiated through our Services require third-party digital wallets ("Wallets"). Your use of any Wallet is solely at your own risk, and we have no control over any blockchain.

The private keys necessary to access assets held in a Wallet are not held by the Company. You are solely responsible for maintaining key and seed phrase confidentiality and for transactions signed with your keys.

Points

The Services may allow users to receive points ("Points") for certain actions. Points are assigned and maintained offchain by the Company at its sole discretion and do not imply any future functionality, traits, features, or economic benefit.

Beta Offerings

From time to time, we may include test or beta features ("Beta Offerings"). Beta Offerings are optional, provided on an "as is" basis, and may contain errors, defects, bugs, or inaccuracies.

2. Eligibility; User Accounts

To use the Services, you must be 18 years of age or older and not be a Prohibited Person.

A "Prohibited Person" includes, without limitation, persons or entities on applicable U.S. sanctions and restricted-party lists, located in embargoed jurisdictions, or otherwise subject to sanctions imposed by the United Nations, OFAC, the EU, or the UK.

By using the Services, you represent and warrant that you meet these requirements.

3. Location of our Privacy and Additional Policies

4. Rights We Grant You

Subject to your compliance with these Terms, we grant you a personal, worldwide, royalty-free, non-assignable, non-sublicensable, non-transferrable, non-exclusive license to use software provided as part of the Services solely to use and enjoy the Services in accordance with these Terms.

5. Use of the Services

We may withdraw or amend the Website, Interface, Protocol, and Services in our sole discretion without notice. We are not liable if any part is unavailable at any time.

You may not, unless expressly permitted:

  • Submit or post unlawful, defamatory, obscene, threatening, abusive, inflammatory, or otherwise objectionable content.
  • Exploit or attempt to exploit minors.
  • Promote illegal activity or assist unlawful acts.
  • Duplicate, decompile, reverse engineer, disassemble, or decode the Services.
  • Use bots, hacks, mods, or unauthorized third-party software.
  • Attempt unauthorized access to, or interfere with, damage, or disrupt the Services.
  • Violate any applicable law or regulation in connection with use of the Services.

6. Ownership and Content

The Services, including design, text, graphics, images, logos, and other proprietary content, are protected under intellectual property laws. The Company and/or its licensors own all right, title, and interest in and to the Services.

7. Website Content and Information

Content and information presented through the Website are provided for general information and education purposes. We do not warrant the accuracy, completeness, or usefulness of this information, and any reliance is at your own risk.

8. Disclaimers, Limitations of Liability, and Indemnification

DISCLAIMER: Your access to and use of the Services are at your own risk. The Services are provided on an "AS IS" and "AS AVAILABLE" basis. Company entities disclaim all warranties and conditions, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. After informal dispute resolution, covered disputes related to Company services and/or products are resolved by final and binding arbitration, including threshold questions of arbitrability, administered by JAMS under its Comprehensive Arbitration Rules and Procedures.

We may modify these Terms from time to time, and will update the Last Revised date when changes are made. Continued use after changes become effective constitutes acceptance of the modified Terms.
